Agreement to Terms

By accessing or using the ServiceChainGraph platform and website, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services. These terms apply to all visitors, users, and others who access the service.

Permitted Use

You may use our platform solely for lawful purposes and in accordance with these Terms. You agree not to use the platform in any way that violates applicable laws, infringes on intellectual property rights, transmits harmful code, or interferes with the security or integrity of our systems or those of other users. Commercial use is permitted under an active paid subscription agreement.

Accounts and Subscriptions

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. Subscription fees are billed in advance on a monthly or annual basis as agreed at the time of purchase. Refunds are governed by the refund policy stated in your subscription agreement.

Intellectual Property

The ServiceChainGraph platform, including its software, design, documentation, and all content, is owned by us and is protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your internal business operations. You may not copy, modify, distribute, or create derivative works based on the platform without our prior written consent.

Disclaimer of Warranties

The platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or completely secure. Your use of the platform is at your sole risk. The specific uptime commitments described in your subscription agreement supersede this general disclaimer.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall ServiceChainGraph, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of the platform, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, even if we have been advised of the possibility of such damages. Our total cumulative liability to you for any claims arising from or relating to these Terms shall not exceed the amount paid by you to ServiceChainGraph in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless ServiceChainGraph and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or resulting from: (a) your violation of these Terms; (b) your use of the platform in violation of applicable law; (c) any content you submit to the platform; or (d) your infringement or misappropriation of any intellectual property or privacy rights of any third party. We will provide you prompt notice of any claim and will cooperate with you in your defense.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of California, USA, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the platform shall be subject to binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) under its Comprehensive Arbitration and Mediation Rules. The arbitration shall be conducted in California, USA, and judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorney fees unless the arbitrator awards them to the prevailing party.

Severability and Waiver

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision, and no waiver shall be effective unless in writing and signed by an authorized representative of ServiceChainGraph.

Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other policies or agreements referenced herein, constitute the entire agreement between you and ServiceChainGraph regarding your use of the platform and supersede all prior and contemporaneous agreements, understandings, and communications, whether written or oral. If you have entered into a separate written agreement with ServiceChainGraph (such as an enterprise service agreement), the terms of that agreement shall control to the extent they conflict with these general Terms.

Third-Party Services and Links

The ServiceChainGraph platform may integrate with or link to third-party services, platforms, and websites. We are not responsible for the content, policies, or practices of any third-party service. Your use of third-party services is governed by their own terms of service and privacy policies. We strongly encourage you to review the terms and policies of any third-party service before providing your personal information or accessing such services through our platform.

Amendment and Modification

ServiceChainGraph reserves the right to modify these Terms at any time. Material changes will be posted on our website with a notice of the change date. Your continued use of the platform following the posting of revised Terms means you accept and agree to the changes. It is your responsibility to review these Terms periodically. If you do not agree to the modified Terms, you must discontinue your use of the platform.
